Section 1. Overview
What is changing. On October 1, 2026, Regent Bank (member FDIC) will end the USD account program available through GrabrFi and your GrabrFi USD Account will be closed. Because you will no longer have access to your USD Account, you need to choose what happens to your money.
Your two options.
Move your money to a GrabrFi Global Account. You can choose to have Grabr, Inc. (hereinafter, “Grabr”, “we,” or “us”) move your balance to a GrabrFi Global Account held through Bridge Building Inc. or Bridge Building S.A., Luxembourg (collectively, “Bridge”). There is no fee to move your money to a Global Account. A GrabrFi Global Account is a different kind of account than your USD account. The most important difference is that your balance will be held in US dollar stablecoins and not at a bank. It is not a bank account or brokerage account and it is not insured by the Federal Deposit Insurance Corporation (FDIC) or Securities Investor Protection Corporation (SIPC). Please read Section 6 about changes in deposit insurance coverage and Section 7 about the risks with the Global Account carefully.
Withdraw your money and stop using GrabrFi banking services. You can withdraw your balance to an external bank account and close your GrabrFi USD Account without moving to a Global Account. There is no fee to move your money to an external bank account; but, normal wire and ACH fees may apply. If you prefer this option, do not tap “Transfer to Global Account.” See Section 8 for how to withdraw money from your USD Account.
This is a required change. Keeping your USD Account is not an option after October 1, 2026. If you do nothing, Grabr will close your USD Account and mail a paper check to you in the amount of your balance less an account closing fee.
What is a GrabrFi Global Account.
- A balance held as a US dollar stablecoin. Your Global Account balance will be represented by USDB, a US dollar stablecoin issued by Bridge Building Inc., a subsidiary of Stripe. If you are in the European Economic Area (“EEA”), your balance will instead be represented by USDC, a US dollar stablecoin issued by Circle. Each unit of stablecoin is designed to hold the value of one US dollar and is redeemable for one US dollar, subject to the applicable issuer terms.
- Backed 1:1 by reserves. The stablecoin is backed one-to-one by US dollar reserves held in high-quality, liquid assets, including short-dated US Treasuries and cash, in accounts separate from the issuer's own operating funds.
- Send and receive dollars globally. You can send and receive stablecoin transfers around the clock, including on weekends, and receive ACH and wire transfers using US account details provided through Lead Bank (member FDIC).
- A new Visa card. Once approved, you will receive a new GrabrFi debit card issued by Lead Bank (member FDIC), usable wherever Visa is accepted. While Lead Bank (member FDIC) will provide your new GrabrFi debit card, funds are not held in an FDIC-insured account at Lead Bank (member FDIC).
- Same app, no GrabrFi fee to move. Your USD account balance will move within the GrabrFi app, and there is no GrabrFi fee for this one-time transfer. See Section 3 for more details.
GrabrFi Global Account is neither a bank account nor brokerage account and it is not insured by the Federal Deposit Insurance Corporation (“FDIC”) or Securities Investor Protection Corporation (“SIPC”). The benefits of a GrabrFi Global Account do not change the insurance status of your funds and the risks. Your GrabrFi global account does not have the same protections as a bank account or brokerage account. Section 6 explains the change in insurance status, and Section 7 explains the risks. Please read both before you decide which option to select.
Legal effect. The GrabrFi Global Account Balance Transfer and Account Transition Consent Terms (“Terms”) are an agreement between you and Grabr. They are supplement to your existing GrabrFi USD Account Agreement (including that Agreement’s dispute resolution provisions), and where they conflict on this one-time transfer and account transition, the Terms control. Your ongoing use of a GrabrFi Global Account is governed by the Bridge User Terms and Stablecoin Terms and by the GrabrFi Terms of Use. The Terms are effective upon posting to the GrabrFi website and sending notice to you.
Section 2. Authorization to Move Funds to Global Account
By tapping “Transfer to Global Account,” you authorize Grabr and its service providers to do all of the following as part of this one-time account transition:
Debit your USD account. Initiate an ACH debit from your GrabrFi USD Account for the full available balance, or for the amount shown on the confirmation screen, consistent with the terms of the Consumer ACH Authorization and Agreement, which are incorporated herein by reference.
Open a Global Account. Generate a Global Account application on your behalf, if you do not yet have an active GrabrFi Global Account.
Credit your Global Account. Credit the corresponding amount to a GrabrFi Global Account, including crediting you in advance from a prefunded account as described in Section 4.
Recover funds if the transfer fails. Debit your GrabrFi Global Account or otherwise recover funds if the underlying transfer is later returned or reversed, as described in Section 5.
Exchange information. Share the information needed to complete these steps among Grabr, Regent Bank (member FDIC), Bridge, Lead Bank (member FDIC), and their service providers, consistent with the applicable privacy policies.
This authorization is specific to this account transition. It does not authorize recurring or future debits from your USD account beyond what is needed to complete and, if necessary, correct this transfer. You will not be able to cancel the transfer once it has started, as funds may be made available to you before settlement (see Sections 4 and 5).
Section 3. GrabrFi Global Account Opening
Plain language. If you already have an open and active GrabrFi Global Account, your transferred balance will typically be available as soon as you accept these Terms. If you do not yet have an active GrabrFi Global Account, your balance transfer may be delayed while we verify your identity information and your account application is reviewed. Once your identity information is verified and your account is approved, your transfer will start and your funds will typically be available right away. See Section 4 for more information on the timing of the balance transfer.
Details. Opening and activating a GrabrFi Global Account is subject to identity verification and approval by Bridge and its service providers. Until your Global Account is open and active, we cannot credit it. If identity verification is not completed, or if your account application is not approved, the transfer will not occur and your GrabrFi USD Account will remain open and unchanged until closure, subject to Section 8. We will tell you if verification fails, your account application is not approved, or if more information is needed.
Section 4. Transfer of Funds to GrabrFi Global Account
Plain language. In most cases your money will show up in your GrabrFi Global Account right away. Behind the scenes, the transfer from your GrabrFi USD Account will take a little longer to complete.
How it works. We use a prefunded GrabrFi Global Account. When your transfer starts, we will initiate an ACH debit from your GrabrFi USD Account. Once that debit is initiated, we will credit your GrabrFi Global Account instantly from the prefunded account, so you can use your funds without waiting for the ACH to settle. The ACH debit from your USD account will then settle in the background, typically within a few banking days.
What this means for you. Because you are credited before the ACH settles, the credit is provisional until the ACH from your USD account settles. If that ACH is later returned or reversed, we may recover the funds as described in Section 5.
Timing is not guaranteed. Funds availability depends on your identity verification status, your USD account status, banking hours, and network conditions. We do not control the ACH network and cannot guarantee an exact time.
Section 5. Instant Credit Clawback and ACH Return Rights
Plain language. Because we provisionally credit you before the transfer from your GrabrFi USD Account to your GrabrFi Global Account settles, if that transfer later fails or is reversed, we can take back the matching amount. If your GrabrFi Global Account balance is too low, you still owe us the difference.
Authorization to recover. We may make funds available in your GrabrFi Global Account before the underlying transfer from your GrabrFi USD Account has settled. If that transfer is later returned, reversed, or fails for any reason, you authorize us to debit your GrabrFi Global Account or otherwise recover the corresponding amount. If your Global Account balance is insufficient, you remain responsible for the shortfall, and you authorize us to recover it, including by debiting other funds you hold with us or by other lawful means. If a debit is returned for insufficient or uncollected funds, we may reinitiate the debit up to two additional times within 180 days of the original debit.
No waiver. Our decision to make funds available early, or to delay a recovery, does not waive our right to recover later.
Section 6. Change in Deposit Insurance Status
IMPORTANT. YOUR DEPOSIT INSURANCE IS CHANGING.
Your GrabrFi Global Account is NOT FDIC-insured and is NOT SIPC-insured. It is not a bank deposit, a bank account, or a brokerage account. It is not guaranteed by any bank. You could lose money.
Before and after.
- Before (your GrabrFi USD Account). Your GrabrFi USD Account is provided by Regent Bank (member FDIC). Your balance is held in an account eligible for pass-through FDIC insurance, up to the standard maximum deposit insurance amount of $250,000 per depositor, per ownership category. Pass-through insurance applies only if certain conditions are met, including proper account records and the funds actually being held at an insured bank. FDIC insurance covers the failure of insured banks. It does not cover other losses.
- After (your GrabrFi Global Account). Your GrabrFi Global Account is different. Funds in your GrabrFi Global Account are not FDIC-insured, are not SIPC-insured, are not a bank deposit, and are not guaranteed by any bank. Your balance is represented by a US dollar stablecoin, USDB issued by Bridge Building Inc. or USDC issued by Circle, if you are in the EEA, held through Bridge. You are a creditor of the issuer, not a depositor of a bank. If the issuer fails or becomes insolvent, you may lose some or all of your Global Account balance, and you may have to wait to recover any funds.
Regulatory treatment. The GrabrFi Global Account is not insured by the FDIC or SIPC. It is not a bank account or brokerage account. It may lose value.
What this changes. Moving your balance from your GrabrFi USD Account to a GrabrFi Global Account converts an insured deposit into an uninsured obligation. FDIC pass-through insurance applies to the USD account side only. It does not apply to the GrabrFi Global Account.
Section 7. How GrabrFi Global Account Funds Are Held, Safeguards, and Risk Disclosures
How GrabrFi Global Account funds are held. Global Account funds are held through Bridge as a US dollar stablecoin. The issuer of your stablecoin depends on where you live.
If you are outside the EEA. Your balance is represented by USDB, issued and held by Bridge Building Inc., a Delaware corporation and licensed money transmitter (NMLS #2450917). USDB is backed one-to-one by US dollar reserves held in short-dated US Treasuries, money market funds, and cash, in segregated, bankruptcy-remote accounts at regulated financial institutions. Segregation is designed to keep reserve assets separate from Bridge's operating funds, including in an insolvency. USDB is redeemable for one US dollar, subject to the Bridge Stablecoin Terms (bridge.xyz/legal). USDB does not convey any property interest in the reserve assets.
If you are in the EEA. Your balance is represented by USDC, an electronic money token authorised under the EU Markets in Crypto-Assets Regulation (MiCA) and issued by Circle. You have a legal right to redeem USDC at par value, one US dollar per USDC, under MiCA and Circle's redemption policy. Your USDC is held through Bridge Building S.A., Luxembourg, which is authorised in the EU as a crypto-asset service provider under MiCA and as an electronic money institution. Under MiCA, your assets are segregated from Bridge's own assets and are protected in the event of Bridge's insolvency. USDC does not convey any property interest in Circle's reserve assets.
These safeguards are not insurance. Reserve backing, segregation, and redeemability reduce certain risks. They do not eliminate them, and they are not FDIC or SIPC insurance. By accepting these Terms, you acknowledge to the following risks:
1. Value and de-peg risk. Your balance is represented by your stablecoin, which is intended to track the value of the US dollar. It may not always do so. The value can move away from one US dollar, temporarily or permanently. You could receive less than the amount you transferred.
Irreversibility of blockchain transfers. Transfers of your stablecoin on a blockchain cannot be reversed once broadcast. If funds are sent to the wrong address, used an incompatible stablecoin, or used the wrong network, they may be lost permanently. This is different from a bank transfer, which can sometimes be recalled or disputed.
Custody and access risk. Your stablecoin is held by Bridge or its sub-custodians and may be held in omnibus accounts. You do not hold the private keys. Access to your funds depends on the issuer and its providers remaining operational and solvent.
Availability risk. Access to the GrabrFi Global Account and to related services may be interrupted, delayed, or limited by network conditions, maintenance, legal requirements, or actions of providers.
These risks are in addition to the change in insurance status described in Section 6.
Section 8. GrabrFi USD Account Closure
Plain language. Your GrabrFi USD Account will close and your GrabrFi Mastercard Debit Card will stop working on October 1, 2026. Move your balance to a GrabrFi Global Account or withdraw your balance to an external bank account before then to avoid any disruption in accessing your money. If you move your balance to a GrabrFi Global Account, a new Visa Debit Card issued by Lead Bank (member FDIC) will be issued to you.
Act before September 24, 2026. You have until September 24, 2026 to choose to move your money to a GrabrFi Global Account or withdraw your USD Account balance to an external bank account. On September 24, 2026, we will freeze your GrabrFi USD Account. While it is frozen, you cannot add money, spend, or send money out, and your GrabrFi Mastercard Debit Card will not work. You can still move your balance to a GrabrFi Global Account in the GrabrFi app until October 1, 2026, but you will need to contact support@grabrfi.com to withdraw your balance to an external bank account once the account is frozen. There is no fee to move your balance to a GrabrFi Global Account or withdraw it to an external bank account.
Closure. Your GrabrFi USD Account, and your GrabrFi Mastercard Debit Card issued by Regent Bank (member FDIC), will be closed on October 1, 2026. After closure, the USD account cannot receive or send money, and its account and routing numbers and your GrabrFi Mastercard Debit Card will stop working.
Your card is changing. If you move your USD account balance to a GrabrFi Global Account, a new Visa Debit Card issued by Lead Bank (member FDIC) will be issued for your GrabrFi Global Account once you are approved. Your new card is a separate card with a new number. Activate your new card when it arrives. Your new card can be used wherever Visa is accepted.
If you choose to withdraw instead of moving. You may withdraw your USD Account balance to an external bank account and close your USD account without opening a GrabrFi Global Account. Allow a reasonable processing period. Withdrawal from your USD account is governed by applicable terms of your GrabrFi USD Account Agreement. To choose this option, do not tap “Transfer to Global Account,” and follow the withdrawal steps in the app or contact support@grabrfi.com.
Fees may apply on if you do not withdraw the entire balance before account closure; see "Fees if your account is closed with a balance left in it" below.
If you take no action. If you still have a balance in your GrabrFi USD Account when it closes on October 1, 2026, we will return the balance to you as described in "Fees if your account is closed with a balance left in it" below. If your remaining balance is $20.00 or more, Regent Bank will mail a paper check to the last mailing address we have on file at the time the check is prepared. Keep your mailing address current in Profile and Settings, or by contacting support@grabrfi.com. GrabrFi is not responsible for a check sent to an address that is no longer current.
Fees if your account is closed with a balance left in it. If your GrabrFi USD Account still has a balance on October 1, 2026, we will apply a single account closing fee of up to $20.00 to the balance immediately before closing your account. Act by October 1, 2026 to avoid the account closing fee.
Legal clause. The account closing fee is set out in the Fee Schedule in your GrabrFi USD Account Agreement. The fee equals the lesser of $20.00 and the remaining balance at closure, and is deducted before any balance is returned.
If you open a Global Account later. If your GrabrFi USD Account is closed with a balance under $20.00, that balance will be applied as your account closing fee. If you open a GrabrFi Global Account after closure of your USD account, we may credit the amount of that fee to your new GrabrFi Global Account. This is a one-time courtesy credit, it is not required, and it does not change the fee that applied at closure of your GrabrFi USD Account.
Funds that arrive after closure. After your GrabrFi USD Account is closed, funds sent to this account will generally be returned to the sender. Where possible, we will instead move such funds to your GrabrFi Global Account. Direct deposits received in a name that does not match the account holder will be returned to the originator.
Disputes and refunds after your USD account closes. Your right to dispute a transaction or receive a refund does not end when your GrabrFi USD Account closes. Note that a dispute on a transaction that occurred shortly before account closure may not be fully resolved until several months after the account closes. If a dispute is resolved in your favor, or if a merchant sends a refund to your USD account after closure, Regent Bank (member FDIC), coordinated through Synctera, will issue a paper check for the applicable amount. The paper check will be mailed to the last mailing address we have on file at the time the check is prepared. Keep your mailing address current in Profile and Settings, or by contacting support@grabrfi.com. GrabrFi is not responsible for a check sent to an address that is no longer current.
Section 9. E-SIGN Electronic Consent
You have already accepted the GrabrFi E-Sign Consent Disclosure, which is your consent to receive account documents electronically and to use electronic signatures. These Terms and the related disclosures are delivered to you under that existing consent.
Electronic delivery. These Terms and related notices are provided electronically in the GrabrFi app or by email, as described in your E-Sign Consent Disclosure.
No paper delivery. Consistent with your E-Sign Consent Disclosure, GrabrFi does not offer non-electronic delivery of statements and documents. If you withdraw your consent to electronic delivery, your accounts will be closed and your balance returned to you.
Withdrawing consent. You may withdraw your consent to electronic delivery as described in your E-Sign Consent Disclosure, by contacting support@grabrfi.com. Withdrawal does not affect the validity of documents provided electronically before the withdrawal takes effect. Because this account transition is completed electronically, withdrawing consent before you complete it may prevent you from proceeding with the transfer.
Keep your contact details current. Keep your email address up to date in Profile and Settings, or by contacting support@grabrfi.com.
Hardware and software. The requirements are those in your E-Sign Consent Disclosure: a device with internet access, a current supported browser (Safari, Chrome, or Firefox) or a current iOS or Android version, an email account, the ability to view and retain PDF files, and a printer or storage device.
Affirmative acceptance. By tapping “Transfer to Global Account,” you affirmatively accept that you have read these Terms, that you understand them, and that you authorize the actions in Section 2. This is an affirmative action and is not bundled into acceptance of unrelated terms.
Record of your consent. We keep an immutable record of your acceptance, including who consented (your account identifier), when you consented (date and time), the version of these Terms you accepted (Version 1.0), and the affirmative actions you took. We retain these consent records and prior versions of the Terms so the record of what you agreed to, and when, can be reproduced.
Section 10. Governance
These Terms are supplement to your existing GrabrFi USD Account Agreement. They are governed by the laws of the State of California, except as governed by federal law. Any dispute arising out of or relating to these Terms or this account transition is subject to the binding individual arbitration provision and the class-action waiver in your GrabrFi USD Account Agreement, which survive closure of your account. Your ongoing use of the GrabrFi Global Account is separately governed by the Bridge User Terms and Stablecoin Terms applicable to your region.
