GrabrFi QR Payment Terms

These GrabrFi QR Payment Terms ("Terms") govern your use of the QR payment functionality (the "QR Payment Service" or "Service") made available through the GrabrFi platform operated by Grabr, Inc. ("Grabr," "we," or "us").
These Terms supplement and are incorporated into the GrabrFi Terms of Use, available at https://help.grabrfi.com/content/terms (the "Terms of Use"). If there is a conflict, these Terms control only for the QR Payment Service.
The QR Payment Service allows eligible users to make payments in supported countries by scanning QR codes within the GrabrFi app. Payments are debited from your selected Funding Source, which is either your USD checking account (debited in US dollars) or your Stablecoin Wallet (debited in USDB or USDC, depending on your country of residence), and delivered to the recipient in local currency through third-party payment infrastructure.
By initiating or using the QR Payment Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and the Terms of Use.
Definitions
"Service" or "QR Payment Service" means the QR scanning and payment functionality made available through GrabrFi as described in these Terms.
"QR Code" means a quick-response code used to initiate a payment from a user to a merchant, service provider, or individual in a Supported Country.
"Closed QR" means a QR Code that contains a pre-defined payment amount set by the merchant or recipient, which the user cannot modify.
"Open QR" means a QR Code that does not contain a pre-defined payment amount. The amount is either entered by the user in-app or defined by the recipient after the QR Code is scanned.
"Payment Preview" means the screen displayed to the user before confirmation, showing the local currency amount, exchange rate, amount to be debited from the selected Funding Source, applicable fees, and total cost.
"Funding Source" means the GrabrFi account from which the payment is debited. For QR payments, you may select either (a) your USD checking account, which is debited in US dollars, or (b) your Stablecoin Wallet, which is debited in your Wallet Currency (USDB or USDC, determined by your country of residence and pegged 1:1 to USD), as further described in the GrabrFi Stablecoin Wallet and Transfer Terms.
"DePay" means the third-party payment processor (operating at depay.us) that receives QR Code content from Grabr, determines QR characteristics, calculates currency conversion, and routes payment instructions to local financial actors.
"Local PSP" means a local payment service provider or bank that executes the payment within the local financial system of the destination country.
"Supported Country" means a country in which the QR Payment Service is available. The current list of Supported Countries and QR networks is available in the GrabrFi app and on the GrabrFi help center.
1. Description of the Service
The Service enables eligible users to:
(a) Scan a QR Code at a merchant, service provider, or individual in a Supported Country using the GrabrFi app.
(b) Review a Payment Preview showing the local currency amount, exchange rate, amount to be debited from the selected Funding Source, applicable fees, and total cost.
(c) Confirm the payment to authorize a debit from the selected Funding Source and delivery of funds to the recipient in local currency.
(d) View transaction history and receipts for completed QR payments.
Grabr provides the app interface, including QR scanning, Payment Preview, confirmation flow, transaction history, and receipts. Payment processing, currency conversion, and interaction with local financial infrastructure are handled by third-party providers as described in Section 2. We may add, remove, or modify features of the Service at any time.
2. Relationship Between Parties
Grabr (app layer). Grabr provides the front-end interface for QR payments, including QR scanning, Payment Preview, user authorization, confirmation flow, transaction history, receipts, and customer support. Grabr is a financial technology company, not a bank, and does not operate or participate in the local banking or payment infrastructure used to complete QR payments.
DePay (payment processor). Payment processing services are provided by DePay, a third-party payment processor. DePay receives the QR Code content from Grabr, determines QR characteristics (including whether the QR is Open or Closed and the recipient’s information), calculates currency conversion, and routes payment instructions to Local PSPs. DePay does not interact directly with GrabrFi users, and Grabr is not responsible for DePay’s systems, uptime, processing decisions, or compliance actions.
Local PSPs and banks (execution). Payments are executed within the local financial system by Local PSPs or banks in the destination country. Local PSPs return the final payment status (success, rejected, or failed) to DePay, which in turn reports it to Grabr.
By initiating a QR payment, you:
Authorize Grabr to share your transaction data and relevant identity information with DePay and, as needed, Local PSPs, for the purpose of processing the payment, compliance, and fraud prevention;
Authorize Grabr to debit your selected Funding Source for the amount and applicable fees shown on the Payment Preview;
Authorize DePay to process and route your payment instruction to the Local PSP; and
Understand that nothing in these Terms creates a joint venture, partnership, or agency relationship between you and DePay or any Local PSP.
3. Eligibility
To access the QR Payment Service, you must:
Have a verified GrabrFi account in good standing;
Have completed all required Know Your Customer (KYC) and Anti-Money Laundering (AML) verification steps;
Not be a resident of, or located in, a sanctioned or restricted jurisdiction (as defined by OFAC, the EU, or other applicable laws); and
Use the Service solely for lawful purposes.
Grabr, its payment partners, and sponsor banks may require ongoing re-verification or additional documentation as regulations evolve. Grabr may restrict, suspend, or terminate your access to the Service if we believe your activity violates law, sanctions, or Grabr’s compliance policies.
4. Supported Countries
The QR Payment Service is available in select countries. The current list of Supported Countries and QR networks is available in the GrabrFi app and on the GrabrFi help center. Grabr may add or remove Supported Countries or QR networks at any time, without prior notice where required by regulatory, security, or third-party provider considerations. Availability may vary by user location, account status, and regulatory requirements.
5. How QR Payments Work
5.1 Payment Flow
You open the QR scanner in the GrabrFi app and scan a QR Code at a merchant, service provider, or individual.
Grabr transmits the QR Code content to DePay.
DePay determines the QR Code characteristics and returns payment details to Grabr.
Grabr displays the Payment Preview to you, showing the fields set out in Section 6 (Exchange Rates and Currency Conversion).
You review the Payment Preview and confirm the payment. Your confirmation constitutes express authorization to debit your selected Funding Source.
Upon confirmation, Grabr debits your selected Funding Source for the amount plus any applicable flat fee shown on the Payment Preview, in the denomination of that Funding Source (USD, USDB, or USDC).
DePay routes the payment instruction to the Local PSP for execution.
The Local PSP processes the payment and returns a final status.
Grabr displays the result in-app and stores a receipt in your transaction history.
During processing, the app may display statuses such as "Processing," "Confirming," or similar. Processing time depends on the availability of the local financial system and is outside Grabr’s control.
5.2 QR Types
Closed QR (amount pre-set). The QR Code contains a pre-defined amount in local currency. You cannot modify the amount. The Payment Preview will display the fixed local currency amount and the corresponding amount to be debited from your selected Funding Source.
Open QR (amount not set). The QR Code does not contain a pre-defined amount. Depending on the type of QR Code generated by the recipient, either:
(a) User-entered amount. The app will prompt you to enter the amount in local currency, after which you proceed to the standard Payment Preview and confirmation screen; or
(b) Recipient-defined amount. The recipient will define the amount on their side, and the app will update with the amount once received, after which you proceed to the standard Payment Preview and confirmation screen.
5.3 Session Expiry
A QR payment session is valid for a limited period after the QR Code is scanned, as determined by Grabr and its payment partners. If the session expires before you confirm the payment, you must scan a new QR Code to start again.
6. Exchange Rates and Currency Conversion
The exchange rate applied to your QR payment is provided by our payment processing partners and is displayed to you on the Payment Preview before confirmation. The rate is live and refreshed with every payment initiation.
At the moment you confirm the payment, Grabr performs a final rate check. If the exchange rate has changed, you will see a notification that the rate has expired and the updated rate will be displayed. You must re-confirm the payment at the updated rate to proceed.
The rate shown at confirmation is the rate applied to the transaction. No retroactive adjustments will be made after confirmation. Grabr does not guarantee any specific exchange rate and disclaims liability for any losses arising from currency fluctuations or differences between quoted and actual exchange rates.
The Payment Preview will display, before confirmation:
the amount in local currency;
the exchange rate applied;
the amount to be debited from your selected Funding Source, shown in the denomination of that Funding Source (USD, USDB, or USDC);
any applicable fees; and
the total cost of the payment.
If any additional fees apply from the local payment infrastructure, they will be displayed on the Payment Preview before confirmation.
7. Fees
Certain QR payment transactions are subject to a flat fee that varies by Supported Country. Where applicable, the flat fee is displayed on the Payment Preview before you confirm the payment.
The authoritative reference for QR payment fees is the GrabrFi Schedule of Fees, available at https://help.grabrfi.com/en/content/full-schedule-of-fees. Fees may vary by Supported Country and may be updated from time to time; any changes will be reflected in the Schedule of Fees and communicated in accordance with Section 18 (Modifications).
By initiating a QR payment, you agree to review and accept any fees that apply.
8. Transaction Limits
QR payments are subject to per-transaction, daily, and monthly limits. The current limits are available at https://help.grabrfi.com/en/content/account-transfer-limits. Grabr reserves the right to change these limits or impose new limits at any time for security, regulatory, or compliance reasons, without prior notice where such notice is not required by law.
Limits may differ by user profile, Supported Country, and verification level. Grabr may apply additional velocity or amount controls as part of fraud prevention and AML monitoring.
9. Payment Statuses and Processing Times
Processing time for a QR payment depends on the availability of the local financial system and the responsiveness of third-party providers. Grabr is not responsible for delays caused by DePay, Local PSPs, network issues, or other factors outside its reasonable control.
A QR payment can result in one of the following outcomes:
Success. The Local PSP confirms the payment was executed. The amount and fee shown on the Payment Preview are debited from your Funding Source, and a receipt is stored in your transaction history.
Failed or rejected. The payment is not executed by the Local PSP. If your Funding Source was already debited, the full amount debited (including any applicable flat fee) will be returned to the Funding Source from which the payment was initiated, immediately upon receipt of failure confirmation from the provider.
Processing. The payment is in progress. The app will update the status once the Local PSP returns a final result.
10. Refunds and Disputes
QR payments are irrevocable once confirmed. The only path to recover funds after a confirmed QR payment is a merchant-initiated refund. There is no chargeback or dispute mechanism comparable to card networks.
No chargebacks. Grabr and its payment partners do not process user-initiated disputes or chargebacks for QR payments. If you believe a payment was unauthorized (for example, due to account compromise or fraud), this is handled under the Terms of Use, not through the QR payment network.
For any dispute about goods or services received (including quality, delivery, or the merchant’s refund policy), you must contact the merchant directly. Grabr cannot force a refund or reverse a QR payment on your behalf.
Refund mechanics. Only the merchant or payment recipient can initiate a refund, whether total or partial, subject to the timeframes and rules of the local payment network and the merchant’s own refund policy. The merchant returns the funds in local currency to the payment processor. Once the payment processor confirms receipt of the refunded funds, Grabr credits the refunded amount to your account. Grabr does not initiate refunds on behalf of merchants and does not control whether or when a merchant returns funds.
Refund timing. Refund timing has two stages:
Stage 1 (merchant to payment processor). Timing depends entirely on the merchant and local payment network rules and may range from minutes to several weeks. Grabr has no visibility or control over this stage.
Stage 2 (Grabr to user). Once Grabr receives confirmation from the payment processor that the refund has been received, Grabr will credit your account within fourteen (14) business days, and in most cases within minutes.
Refund amount and FX. The refund amount returned to you is the full amount originally debited for the refunded portion of the transaction, in the same denomination as the original debit (USD, USDB, or USDC). Grabr absorbs any FX movement between the original payment and the refund; you do not bear FX risk on refunds. For partial refunds, the amount returned is proportional to the refunded local-currency portion, calculated at the original exchange rate applied to the transaction.
Fees on refunds. For merchant-initiated refunds, the flat transaction fee (where applicable) is non-refundable. If a payment fails due to a system error and does not reach the merchant, the flat fee is refunded in full along with the principal.
Refund destination. Refunds are credited to the same Funding Source from which the original payment was initiated (USD checking account or Stablecoin Wallet).
Country-specific refund rules. Refund availability and timeframes vary by Supported Country and local payment network. In some countries, refunds are not supported once a payment is confirmed. See the GrabrFi help center for current country-specific rules.
11. Irrevocability and User Responsibility
Once you confirm a QR payment, the payment instruction is final and cannot be canceled or reversed by you. Merchant-initiated refunds are a separate process, as described in Section 10.
You are solely responsible for:
Verifying the recipient, amount, exchange rate, and total cost on the Payment Preview before confirming the payment;
Ensuring the QR Code you scan was provided by a legitimate recipient;
Ensuring sufficient funds are available in your selected Funding Source before confirming the payment; and
Reporting unauthorized transactions to Grabr and, where applicable, to the merchant promptly.
Grabr will make commercially reasonable efforts to assist users who report incorrect or unauthorized payments, but cannot guarantee recovery of funds once a QR payment has been confirmed.
12. Your Obligations
By using the Service, you agree to:
Comply with all applicable laws and regulations, including AML and CTF laws;
Use the Service only for lawful purposes and only with QR Codes you have the right to pay;
Provide accurate and up-to-date personal information, and promptly update it if it changes;
Ensure sufficient funds in your selected Funding Source to cover the amount plus applicable fees shown on the Payment Preview;
Review each Payment Preview before confirmation; and
Refrain from using the Service to circumvent AML controls, structure transactions to avoid limits, or for any of the Prohibited Uses listed in Section 16.
13. Compliance, Monitoring, and Suspension
Grabr and its payment partners continuously monitor QR payments for suspicious, prohibited, or unusual activity. Grabr, its payment partners, or sponsor banks may, without prior notice:
Delay, freeze, or cancel a QR payment;
Request additional information or documentation about a specific QR payment for compliance, AML, or fraud prevention purposes;
Hold, delay, or cancel the specific transaction pending receipt of the requested information; or
Report activity to competent authorities.
Failure to provide requested information within the communicated timeframe may result in cancellation of the transaction and return of funds (minus any fees permitted by law) to the Funding Source from which the payment was initiated.
You acknowledge that compliance checks may introduce processing delays or cancellations.
14. Service Availability and Discontinuation
The QR Payment Service depends on third-party providers and local financial infrastructure. Grabr may suspend or discontinue the Service in any Supported Country, or the Service as a whole, at any time. Where practical, Grabr will provide advance notice via in-app notification or email. In the case of regulatory, security, or third-party provider issues, the Service may be suspended without prior notice.
15. Risks and Disclaimers
By using the Service, you acknowledge and accept the following risks:
QR Code risks. Malicious or incorrect QR Codes may direct payments to unintended recipients. You are responsible for verifying the recipient and amount on the Payment Preview before confirming.
Third-party infrastructure risks. The Service depends on DePay, Local PSPs, and local financial networks. Outages, maintenance, or operational failures of these providers may delay or prevent settlement.
FX risks. Exchange rates may change between the time you scan a QR Code and the time you confirm the payment. A final rate check is performed at confirmation (see Section 6).
Irrevocability. Once confirmed, a QR payment cannot be canceled or reversed by you.
Merchant dispute risks. Grabr cannot force refunds or reverse payments on your behalf. Disputes over goods or services are between you and the merchant.
Grabr provides the Service "as is" and "as available," without warranties of any kind.
16. Prohibited Uses
You agree not to use the Service for any activity that is illegal, violates sanctions, or is otherwise prohibited. The prohibited business sectors listed in the Terms for In-App Top-Ups and Withdrawals to Local Currency apply equally to QR payments. In addition, the following QR-specific activities are prohibited:
Using QR payments to facilitate person-to-person transfers that circumvent AML controls;
Structuring transactions to avoid per-transaction, daily, or monthly limits; and
Using QR payments for any purpose you know or should know to be unlawful in either the country of origin or the Supported Country.
17. Limitation of Liability
To the fullest extent permitted by law:
Grabr’s total liability for any claim arising out of a QR payment shall not exceed the total transaction amount (excluding fees);
Grabr shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or access;
Grabr is not responsible for failures, delays, or errors caused by DePay, Local PSPs, banks, or network issues;
Grabr is not responsible for the quality, legality, or delivery of goods or services purchased via QR payment; and
Grabr is not liable for delays or failures caused by events beyond its reasonable control, including system outages, natural disasters, governmental actions, or other force majeure events.
Nothing in this section limits any liability that cannot be excluded under applicable law.
18. Modifications
Grabr may update these Terms from time to time. Updated versions will be posted at help.grabrfi.com, with the "Last Updated" date revised accordingly. Material changes will be communicated via email or in-app notification at least thirty (30) days before taking effect, where required by law. Your continued use of the Service after any update constitutes acceptance of the modified terms.
19. Tax Responsibility
You are solely responsible for determining and fulfilling any tax obligations arising from your use of the Service. Grabr may provide transaction records to assist with reporting but is not obligated to do so.
20. Governing Law and Dispute Resolution
These Terms are governed by the same governing law, venue, and dispute resolution procedures set forth in the GrabrFi Terms of Use.

22. Miscellaneous
Assignment. You may not assign or transfer these Terms without Grabr’s prior written consent. Grabr may assign these Terms in connection with a merger, acquisition, or corporate reorganization.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
No Waiver. A failure by Grabr to enforce any right is not a waiver of future enforcement.
Force Majeure. Grabr is not liable for delays or failures caused by events beyond its reasonable control, including acts of God, labor disputes, cyber incidents, network failures, or governmental actions.
Survival. Sections 10 through 20 survive termination of the Service.
23. Acknowledgment
By using the QR Payment Service, you acknowledge that you have read, understood, and agree to:
These GrabrFi QR Payment Terms;
The GrabrFi Terms of Use; and
The applicable terms of DePay and any Local PSPs.
